Terms and conditions

The agreement

These terms are between you and [legal entity name and registered address] (“we”, “us”) and govern your use of the hosted Client SQL service at clientsql.com and app.clientsql.com. By creating an account, accepting an invitation, or using the service, you agree to them. If you accept on behalf of an organisation, you confirm you are authorised to bind it.

Who may use the service

You must be at least 16 and using the service for a business or professional purpose. You must have the authority to connect every database you add, and to grant the access you grant. Do not point Client SQL at a database you are not permitted to administer or read.

Accounts and security

• Keep your password and recovery codes private, and keep the email address on your account under your control.
• Production workspaces require an authenticator for two-step verification. Do not disable or bypass it.
• Coding-client tokens are shown once. You are responsible for where you store them and for everything a token does until it is revoked.
• Tell us promptly at team@clientsql.com if you believe an account, token, or credential has been compromised.

Your databases, your decisions

Your databases and the data in them remain yours. You instruct us to connect to them and to run the statements you or your clients submit under the permissions you set. You are responsible for the permissions you configure, for the people and clients you invite, and for what they do.

Client SQL is a governor, not a backup system. It records what happened and can produce rollback SQL for migrations, but it does not back up your data and cannot always undo a change. Take your own backups.

Migrations and destructive actions

Schema changes run only through the Liquibase runner, and a production change requires an independent authorised reviewer. Approval is yours to give: when you approve a plan, you accept the change it describes. Rollback is limited to the recorded segment and depends on a history that still matches what was executed. A partially applied migration can require manual reconciliation. Do not approve a migration you are not prepared to reconcile by hand.

Acceptable use

Do not use the service to:

• access a database, or data in it, without authorization;
• circumvent, disable, or falsify the permission, approval, or audit features;
• process unlawful content, or data you are not permitted to process;
• probe, scan, overload, or disrupt the service or the systems of others;
• resell or provide the service to third parties as your own, except within your own organisation;
• upload malware, or attempt to gain access to an account or workspace that is not yours.

We may suspend access that puts the service, our customers, or a third party at risk. Where it is reasonable to do so, we will tell you first and give you a chance to fix the problem.

Availability and changes

The service is provided as-is while it is under active development. We do not promise a service level, and features may change, be added, or be withdrawn. We aim to give notice of changes that require you to act. Planned maintenance and failures happen; keep your own copy of anything you cannot afford to lose.

Fees

The service is currently provided at no charge. If we introduce paid plans, we will tell existing account holders in advance and nothing will be charged without your agreement.

Intellectual property

We own the service, its software, and its design. You keep all rights in your data, your SQL, your changelogs, and your content. You grant us only the licence needed to operate the service for you — storing, transmitting, and processing your data to run the features you use.

Suspension and termination

You may stop using the service at any time and ask us to delete your account. We may suspend or terminate access if these terms are materially breached, if we are required to by law, or if continuing would create a security or legal risk. On termination, access ends and personal data is handled as described in the privacy policy.

Disclaimers

Except where the law does not allow it, the service is provided without warranties of any kind, express or implied, including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the service will be uninterrupted, error-free, or that it will prevent every unauthorized or harmful database change.

Limitation of liability

Except where the law does not allow it, we are not liable for indirect, incidental, special, consequential, or punitive damages, nor for lost profits, revenue, data, or goodwill. Our total liability arising out of or relating to the service is limited to the greater of the amounts you paid us in the twelve months before the claim, or one hundred US dollars. Nothing here limits liability that cannot lawfully be limited.

Governing law and disputes

These terms are governed by the laws of [governing jurisdiction], and the courts of [venue for disputes] have exclusive jurisdiction, without affecting any right you have to bring a claim where you live.

Changes to these terms

We may update these terms as the service changes. The date at the top shows the current version. If a change is material, we will tell account holders by email before it takes effect; continuing to use the service after that means you accept the updated terms.
